TERMS AND CONDITIONS

1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your use of the “Everything Anytime” subscription service (“Service”) offered by Reserve Hospo (“we,” “our,” or “Company”). By subscribing to our Service, you (“Subscriber,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully before proceeding with your subscription.

2. SUBSCRIPTION TERMS

2.1 Subscription Period

The “Everything Anytime” subscription is offered for a minimum commitment period of twelve (12) months from the date of activation (“Minimum Term”).

2.2 Renewal

Upon completion of the Minimum Term, your subscription will automatically renew on a month-to-month basis unless cancelled in accordance with these Terms.

2.3 Fees and Payment

• Subscription fees will be charged according to the rate plan selected at the time of enrollment.
• Fees are payable in advance on a monthly basis or as otherwise specified during registration.
• All fees are non-refundable except as expressly provided in these Terms.

3. CANCELLATION POLICY

3.1 Early Cancellation

• Cancellation before completion of the Minimum Term constitutes an early cancellation.
• In the event of early cancellation, you agree to pay all remaining fees for the Minimum Term in full.
• The early cancellation fee is calculated as the monthly subscription fee multiplied by the number of months remaining in the Minimum Term.

3.2 Cancellation After Minimum Term

After completing the Minimum Term, you may cancel your subscription with thirty (30) days’ written notice to Reserve Hospo without incurring additional fees.

4. SERVICE AVAILABILITY

4.1 Service Provision

• The “Everything Anytime” Service will be provided at the discretion and availability of Reserve Hospo.
• While Reserve Hospo will make reasonable efforts to provide the Service in a timely and satisfactory manner, specific time slots, locations, or service features cannot be guaranteed.
• Reserve Hospo reserves the right to modify, limit, or restrict service availability based on demand, capacity, or other operational considerations.

4.2 Reservation and Access

• Reservations may be required and are subject to availability.
• Reserve Hospo will make a good faith effort to accommodate Subscriber requests but cannot guarantee specific dates, times, or locations.

5. ACCESS RIGHTS AND MARKETING ACTIVITIES

5.1 System Access and Management

By subscribing to the “Everything Anytime” Service, you grant Reserve Hospo the right to:

• Access and make modifications to your reservation system(s)
• Manage your online presence, including but not limited to Google Business profiles and other third-party booking platforms
• Update, modify, or create content on your behalf across various online channels

5.2 Marketing and Promotional Activities

Reserve Hospo is authorized to:

• Market your venue online through various digital channels to generate interest and bookings
• Use your customer database for marketing purposes related to promoting your venue
• Create and distribute promotional materials featuring your venue
• Implement marketing strategies and campaigns on your behalf

5.3 Data Usage

You consent to Reserve Hospo’s use of your venue information, customer data, and booking history for marketing and promotional purposes in connection with the Service.

5.4 Limitation of Liability for Access and Marketing Activities

You acknowledge and agree that:

• Reserve Hospo shall not be held liable for any mistakes, errors, or problems resulting from our access to your systems or our marketing activities
• Any modifications, updates, or changes made to your reservation systems or online presence are made at your request and risk
• Reserve Hospo disclaims all liability for any direct, indirect, incidental, or consequential damages arising from our management of your online presence or marketing activities
• You release Reserve Hospo from any claims related to the content, accuracy, or effectiveness of marketing materials or campaigns

6. PRIVACY AND DATA PROTECTION

6.1 Database Usage and Privacy Commitment

Reserve Hospo acknowledges the sensitive nature of customer data and commits to handling all database information in accordance with applicable privacy laws, including the Privacy Act 1988 (Cth) and Australian Privacy Principles.

6.2 Permitted Use of Customer Data

Reserve Hospo will use your customer database exclusively for:

• Marketing and promotional activities related to your venue
• Generating bookings and interest in your establishment
• Providing the “Everything Anytime” Service as outlined in these Terms
• Legitimate business purposes directly related to the Service

6.3 Data Protection and Confidentiality

Reserve Hospo agrees to:

• Maintain the confidentiality and security of all customer data
• Implement reasonable security measures to protect against unauthorized access, disclosure, or misuse
• Use customer information only for the purposes specified in these Terms
• Comply with all applicable data protection and privacy laws

6.4 No Third-Party Distribution

Reserve Hospo will not:

• Sell, rent, lease, or otherwise distribute your customer database to any third parties
• Share customer information with other companies or organizations outside of Reserve Hospo
• Use customer data for purposes unrelated to the Service provided to your venue

6.5 Data Retention and Deletion

• Customer data will be retained only for as long as necessary to provide the Service
• Upon termination of your subscription, Reserve Hospo will cease using your customer data for marketing purposes
• You may request the deletion of specific customer data, subject to legal and operational requirements

6.6 Data Breach Notification

In the event of any security breach or unauthorized access to customer data, Reserve Hospo will notify you promptly and take immediate steps to mitigate any potential harm.

6.7 Compliance with Privacy Laws

Both parties acknowledge their respective obligations under applicable privacy legislation and agree to cooperate in ensuring compliance with all relevant data protection requirements.

7. SUBSCRIBER OBLIGATIONS

7.1 Subscriber agrees to:

• Provide accurate and complete information when subscribing to the Service.
• Comply with all reasonable policies and procedures established by Reserve Hospo.
• Use the Service in accordance with applicable laws and regulations.
• Treat Reserve Hospo staff, facilities, and other customers with respect.

8. MODIFICATIONS TO THE SERVICE

8.1 Reserve Hospo reserves the right to:

• Modify the Service, including features, benefits, and offerings.
• Adjust subscription fees with thirty (30) days’ notice to Subscribers.
• Update these Terms at any time. Continued use of the Service after such changes constitutes acceptance of the modified Terms.

9. TERMINATION

9.1 Termination by Reserve Hospo

Reserve Hospo may suspend or terminate your subscription immediately and without notice if:

• You breach any provision of these Terms.
• You engage in conduct that Reserve Hospo determines, in its sole discretion, to be harmful to the Company, the Service, or other customers.
• Payment for the subscription fails or is declined.

9.2 Effect of Termination

Upon termination:

• You will lose access to all aspects of the Service.
• You remain liable for all fees accrued before termination, including any applicable early cancellation fees.

10. LIMITATION OF LIABILITY

10.1 To the maximum extent permitted by law:

• Reserve Hospo makes no warranties or representations regarding the Service.
• Reserve Hospo shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Reserve Hospo’s total liability shall not exceed the amounts paid by you for the Service during the twelve (12) months preceding the claim.

11. DISPUTE RESOLUTION

11.1 Informal Resolution

Before pursuing formal legal proceedings, Subscribers agree to attempt to resolve any disputes informally by contacting Reserve Hospo.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

12. MISCELLANEOUS

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Reserve Hospo regarding the Service and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.3 No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign or transfer your subscription or these Terms without the prior written consent of Reserve Hospo. Reserve Hospo may assign or transfer these Terms without restriction.
